Scope of Agreement
These Terms govern your access to and use of the Service Provider's website, trading applications, Application Programming Interfaces (APIs), Order Management Systems / Risk Management Systems (OMS/RMS), hosted infrastructure, market data interfaces, managed services, documentation, and the support portal (collectively, the "Services"), including any updates, upgrades, or modifications thereto.
Eligibility
The Services are available exclusively to trading members registered with recognised stock exchanges ("Trading Members"), and those clients or business partners whom the Trading Member has on-boarded and approved for access (collectively, "Users").
Permitted Use
Users shall utilise the Services strictly for lawful trading and investment purposes in accordance with applicable laws, including guidelines, circulars, and regulations issued by the Securities and Exchange Board of India (SEBI) and respective Stock Exchanges. Any use of the Services outside these parameters or in violation of this Agreement is strictly prohibited.
User Responsibilities
Users are solely responsible for maintaining the strict confidentiality of their access credentials, including usernames, passwords, and multi-factor authentication (MFA) tokens. Users must access the platform exclusively through authorized channels and shall immediately notify both their Trading Member and the Service Provider of any actual or suspected security incidents, data breaches, or unauthorized account use.
Prohibited Activities
Users shall not, directly or indirectly: (i) reverse engineer, de-compile, disassemble, or attempt to derive the source code of the software or infrastructure; (ii) bypass or attempt to breach any security or access controls; (iii) introduce malware, viruses, or harmful code into the system; (iv) engage in API abuse, automated scraping, or actions that impose an unreasonable load on the infrastructure; or (v) copy, modify, distribute, or create derivative works of any portion of the Services.
Intellectual Property
All software, documentation, and underlying technology provided through the Services remain the exclusive intellectual property of the Service Provider or its respective third-party licensors. No ownership, title, or proprietary rights are transferred to the Users. Users are granted only a limited, non-exclusive, non-transferable right to use the software for its intended purpose under this Agreement.
Confidentiality
Trading Members and Users shall maintain the absolute confidentiality of all non-public technical, commercial, operational, and security information disclosed by or through the Service Provider.
Information Security
Users shall strictly comply with all security controls mandated by the Service Provider, including multi-factor authentication (MFA) and access restriction rules. The Service Provider shall not be liable for any unauthorized trading activity, data leaks, or system disruptions caused by security failures, malware infections, or vulnerabilities within the Trading Member’s or User's internal IT environment.
Service Availability and Maintenance
The Service Provider shall deploy commercially reasonable efforts to maximise system uptime. Access to the Services may be temporarily suspended or limit access to the infrastructure at any time for: (i) routine or scheduled maintenance; and (ii) emergency technical interventions or critical security patching. The Service Provider shall not be liable for any trading losses, missed opportunities, or damages resulting from planned or unplanned system downtime.
Third-Party Dependencies and Services
The Service Provider is not responsible for any platform delays, data errors, or service outages caused by third-party systems outside its direct operational control. This includes disruptions caused by Stock Exchanges, internet service providers (ISPs), telecom networks, or third-party data centers.
Market Data Restrictions
Users acknowledge that all market data provided through the Services belongs exclusively to the respective Stock Exchanges. Any unauthorized redistribution, commercial exploitation, or recording of the market data feed is strictly prohibited and constitutes a material breach of this Agreement.
Suspension of Services
The Service Provider may suspend access to the Services at any time without advance notice and without prior liability for: (i) security incidents or suspected cyber threats; (ii) compliance with regulatory directions or exchange orders; (iii) non-payment of outstanding service fees; or (iv) any suspected misuse or breach of this Agreement.
Limitation of Liability
The Service Provider shall use its best endeavor to ensure that the Services provided shall be in reasonable conformity with the terms of this agreement. In no event shall the Service Provider be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, trading losses, loss of data, revenue, or business interruption, however caused and under any theory of liability.
Regulatory Compliance
Trading Members remain completely responsible for all regulatory compliance required by SEBI and the Stock Exchanges. This includes client onboarding, risk management, and regulatory reporting.
Amendments
The Service Provider may update these Terms at any time to reflect changing regulations or system upgrades. Material changes will be notified to Trading Members via email or the support portal. Continued use of the Services after such notification constitutes absolute acceptance of the updated Terms.
Governing Law
Governed by the laws of India. Courts at Bengaluru shall have exclusive jurisdiction.
